These Terms and Conditions ("Terms") govern your access to and use of any related account or course portal, educational products, communications, purchases, optional upgrades, and the text-messaging programs operated by MCA WIZARD INC., doing business as MCA Wizard Academy ("MCA Wizard Academy," "we," "us," or "our"). By accessing the website, creating an account, purchasing or using an educational product or service, or affirmatively enrolling in text-message communications, you agree to the portions of these Terms applicable to that activity. If you do not agree, do not use the applicable website, product, service, or messaging program.

Eligibility and Age Requirement
The website and MCA Wizard Academy's products and services are intended solely for adults and business-related purposes. By using the website, creating an account, making a purchase, requesting an optional upgrade, or enrolling in text-message communications, you represent that you are at least 18 years old and, when acting for a business, authorized to act on its behalf.

1. General Educational Information
The information provided through MCA Wizard Academy is for general informational and educational purposes only. It is not legal, tax, accounting, investment, credit-repair, or financial advice and is not a substitute for advice from a qualified professional who has reviewed your particular circumstances. Educational content may discuss merchant cash advances, business cash flow, receivables-purchase agreements, communications with funding companies, reconciliation provisions, litigation concepts, settlement considerations, and related subjects. Laws, contract terms, business circumstances, and available options vary. You remain responsible for evaluating information and deciding whether and how to act upon it. 2. Nature of MCA Wizard Academy

Unless expressly stated in a separate written agreement applicable to a specific service, MCA WIZARD INC. is not acting as a lender, merchant-cash-advance funder, broker, financial adviser, debt-settlement company, credit-repair organization, or law firm. Purchasing or using an MCA Wizard Academy educational product does not mean that MCA Wizard Academy will negotiate, settle, modify, cancel, defend, or otherwise resolve any merchant cash advance, financing obligation, lawsuit, judgment, lien, or business dispute on your behalf.

3. Accounts, Access, and License
You agree to provide accurate information, maintain the confidentiality of your login credentials, and promptly notify us of suspected unauthorized account use. You are responsible for activity conducted through your account to the extent permitted by law. Subject to these Terms and payment of applicable fees, MCA Wizard Academy grants you a limited, personal, non-exclusive, non-transferable, and revocable license to access and use the purchased educational materials for your own internal business and educational purposes. You may not share login credentials, give another person access through your account, reproduce or distribute course materials, record restricted content, resell access, publicly display paid content, or use Academy materials to create or provide a competing product or service without our prior written permission. If a product is advertised as including "lifetime access," that means continuing access by the original purchaser for as long as MCA Wizard Academy maintains and makes the applicable product or program available, subject to these Terms, legal requirements, security needs, technological changes, and events outside our reasonable control. Lifetime access is personal to the original purchaser and may not be transferred or resold.

4. Purchases, Fees, and Payment
Prices, included features, payment terms, and any refund or cancellation terms will be disclosed at checkout, on the applicable offer page, or in a separate written policy or agreement. By submitting payment information, you authorize the stated charge and represent that you are authorized to use the selected payment method. Unless expressly identified as recurring before purchase, a one-time purchase will not create a recurring charge. Optional upgrades, including professional-service upgrades, may require a separate payment and may be governed by additional terms disclosed before purchase. You are responsible for applicable taxes except taxes imposed on MCA WIZARD INC.'s net income. We may suspend access for a reversed, disputed, fraudulent, or unpaid transaction while the matter is reviewed, subject to applicable law.

5. Optional Attorney or Professional-Service Upgrades
MCA Wizard Academy may make optional upgrades available that involve a consultation, document review, or other service provided by a New York attorney, law firm, or other professional. Purchasing an Academy product, submitting information to MCA Wizard Academy, or requesting an appointment does not by itself create an attorney-client relationship. An attorney-client relationship is created only if and when an attorney or law firm agrees to the representation and any required engagement agreement is executed. The scope, fee, duration, and provider of an optional professional service will be governed by the description presented for that upgrade and any separate engagement agreement or terms. An upgrade does not include legal representation beyond the expressly agreed scope. No outcome is promised or guaranteed. Communications with MCA Wizard Academy personnel who are not acting as your attorney may not be protected by the attorney-client privilege. Do not assume that information submitted through a general website form, ordinary email, or text message is privileged or confidential.

6. Intellectual Property
The website and its educational content, videos, text, graphics, logos, downloads, course structure, and other materials are owned by or licensed to MCA WIZARD INC. and are protected by applicable intellectual-property laws. Except for the limited license granted in these Terms, no ownership or intellectual-property rights are transferred to you. You may not copy, modify, publish, distribute, sell, sublicense, create derivative works from, scrape, reverse engineer, or commercially exploit protected materials without prior written permission, except as permitted by law.

7. Prohibited Conduct
You may not: Use the website, products, services, or communications for unlawful, fraudulent, abusive, or deceptive purposes; Attempt to gain unauthorized access to an account, system, course, or restricted content; Interfere with website security, operation, or availability; Upload malware or harmful code; Misrepresent your identity, authority, or relationship to a business; Use automated means to scrape, copy, or extract restricted content; Share, resell, or commercially exploit account access or paid materials; or Infringe the rights of MCA WIZARD INC. or another person.

8. MCA Wizard Academy Text-Messaging Programs
The MCA Wizard Academy text-messaging programs are operated by MCA WIZARD INC., doing business as MCA Wizard Academy. MCA Wizard Academy may offer separate marketing and non-marketing text-message consent options. You will receive a category of text messages only after providing the applicable affirmative consent. Marketing messages may concern: Educational content; MCA Wizard Academy products and services; Special offers and promotions; and Product, program, or service updates. Non-marketing messages may concern: Responses to your inquiry; Account access and administration; Purchase and transaction communications; Appointment scheduling and reminders; Requested consultations or upgrades; Customer-service and technical-support communications; and Other services or transactions you request. By voluntarily opting into a text-messaging program, you authorize MCA WIZARD INC., doing business as MCA Wizard Academy, to send the selected category of recurring text messages to the mobile telephone number you provide. Messages may be sent using automated technology. Merely providing or entering a telephone number does not by itself authorize marketing text messages. Consent applies only to MCA WIZARD INC., doing business as MCA Wizard Academy, and is not required as a condition of purchasing any product or service. Where presented on a form, marketing and non-marketing consent choices are separate, optional, and not preselected.

9. Message Frequency and Charges
Message frequency varies according to your selections, inquiries, purchases, account activity, appointments, requested services, and communications with MCA Wizard Academy. Message and data rates may apply to messages sent to you from us and from you to us. Contact your wireless carrier with questions concerning your mobile telephone or data plan.

10. Opting Out and Revoking Consent
You may cancel text messages at any time by replying STOP to a message from MCA Wizard Academy. You may also reply QUIT, END, REVOKE, OPT OUT, CANCEL, or UNSUBSCRIBE, or clearly communicate your request through another reasonable method permitted by law. After receiving a valid revocation request, MCA Wizard Academy will honor it as soon as reasonably practicable and no later than the time required by applicable law. We may send one non-promotional message confirming that you have been unsubscribed. You will then receive no further text messages for which consent is required unless you subsequently provide renewed consent. If you wish to join again after opting out, enroll again through the applicable consent process. Where supported, replying START, YES, or UNSTOP may also restore messaging after renewed consent is confirmed.
